    Abstract: A downhole tool has a main body that is cylindrical and includes a top coupling that couples to a drill string. A second body that is cylindrical is positioned at least partially within the main body. The second body has a bottom coupling that couples to a drill bit. Springs are positioned within the downhole tool and transmit an axial force to the drill bit. A first set of grooves is formed on an interior of the main body, and a second set of grooves is formed on an exterior of the second body. Balls travel within the first and second sets of grooves. At least some of the balls simultaneously engage the main body and the second body.

Further, the inner mandrel includes a torque transition area opening from the outer grooves and extending completely around the inner mandrel. Moreover, the clutch tool includes a biasing device to bias the inner protrusions of the torque sleeve into engagement with the outer grooves.

Shock wave induced relative movement of the casings from either direction causes a shock absorbing instantaneous displacement of oil from one void to the other via the metering clearance. The apparatus comprises either a normally straight or a curved-straight tubular member which has a plurality of generally circumferential cuts disposed along the length of the guide. The cuts allow the guide to be bent sufficiently to enter and traverse a short radius curve and then return to its normal configuration for guiding the drilling of the straight portion of the deflected bore hole.
