    Abstract: Two new forms of financial instruments that can be offered by an issuing company at an initial public offering via an exchange or investment syndicate or otherwise, and, if used, a computerized exchange for trading. The instruments include Fair Revenue Participation Contracts (FRPC) which provide investors with a right to receive a fixed percentage of the issuing company's revenue for a fixed length of time, in combination with a minimum payment guarantee underwritten by a third party guarantor which guarantees some minimum amount of royalty payments to investor, at least recouping their initial investment or resulting in some higher yield to investors. In addition a Debt+Share Royalty instrument gives investors, in exchange for making a loan, a right to repayment of the loan followed by a fixed percentage of the royalty issuer's revenue pursuant to a fixed payment schedule until a fixed amount of revenue has been paid (e.g., a variable period of time determined by revenues).

The FRPC gives the investor rights to the revenues of an issuing company, it being structured as a promise to pay X % of revenues for Y number of years. An exchange for trading in the FRPCs is also disclosed, and this includes, where necessary, a government regulating body (GRB) for regulation and a screen-based trading (SBT) system which may be owned and operated by the Authorized Trading Members (ATMs), said ATMs being pre-qualified by said GRB, the ATMS effectively owning the exchange and holding seats therein, and serving alternately as buyer agents, seller agents, and underwriters for transactions in the FRPCs.

    Abstract: A system and method for dynamic security price and value comparison in indexed terms of a large number of user selected factors relating to a large number of user selected securities, all with regard to a single “pivot” security. The method is implemented as a Java script computer program that permits a user to view security data on an indexed basis whereby a pivot company is chosen and represented as 100 for each of the factors. Any of a large number of companies listed can be selected by the user as the pivot security. The benefit of using the Comparator & Indexer is that relative valuations to those of the pivot security become immediately apparent either resulting in a value conclusion or determination as to the areas necessary for further focused study.

    Abstract: A financial portfolio management method for asset allocation of pension and other institutional funds that reflects and accommodates the needs of fund administrators while simultaneously benefitting those independent investment managers that succeed in meeting agreed upon minimum relative performance objectives. The method of the present invention includes the execution of an agreement, specifying certain performance objectives, between a fund's administrators and an independent investment manager. The independent investment manager is provided with the opportunity to receive an overall management fee that is significantly greater than that provided by traditional, annual fee structures and for greater periods of time than has been the norm, in return for the assumed contractual risk. The payment of the management fees is a two-stage process.
