    Abstract: A method and apparatus for evaluating an impact of enterprise investment agreement provisions on payoffs to equity holders, including investors and entrepreneurs. An investment agreement evaluator comprises a data collector, analyzer and report generator. One embodiment evaluates the impact of Venture Capital term sheet provisions. The data collector gathers information which includes term sheet provisions, enterprise forecasts and market forecasts. The analyzer determines the probability distribution for future payoffs to equity holders and estimates the current market value of equity held by equity holders. The report generator presents the evaluator results. Another embodiment analyzes definitive VC investment agreements. Other embodiments are described and shown through the use of the evaluator, entrepreneurs increasing their effectiveness in negotiating VC deals, VC attorneys expanding value-added services and increasing customer satisfaction.

    Abstract: For any telephone service subscriber, local services could be offered based on either the packet switched next generation network (NGN) or the PSTN network. The network can be configured such that for each particular phone line, the line's services are based either on a PSTN's class 5 switch or on a NGN's service manager (SM). The local service provider, through software reconfiguration could quickly and efficiently move service subscribers' phone lines from class 5 switch based local services to SM based services, and vice-versa. If a call origination is attempted from a phone connected to an access gateway, the SM will instruct the network to handle the call differently depending on whether the services should be offered based on the class 5 switch or the SM. If the services ought to be offered through the class 5 switch, then the SM will establish a virtual local loop connection between the phone and the class 5 switch.

The method includes the steps, executed by a network element, of receiving a telephone number corresponding to a called party receiving the telephone call, reviewing preference information pertaining to a calling party's telephone service, determining from the preference information and the telephone number whether the telephone call can be routed to the called party through the packet switched network, and assigning a route for the telephone call through one of either the packet switched network or the STN to the called party based on whether the call is routable through the packet switched network. A network element (NE) includes the databases and call processing records necessary to route a call and perform these steps.

The ATM switch proxy agents are connected via SVCs established under the control of a proxy agent selector. The proxy agent selector identifies an alternative proxy agents should one or more of the other proxy agents fail. Upon failure of one or more proxy agents, under the control of timing operations within the controller of the switch, the proxy agent selector selects one or more alternative proxy agents. In this manner, proxy agent signaling continues to a ATM switch undisturbed.

    Abstract: System and method for implementing call waiting functions over a network architecture which includes a public switched telephone network (PSTN) and the Internet. The call waiting system allows a user to receive incoming call information from a third party without interrupting an active connection with a second party, such as an Internet Service Provider (ISP). When the user attempts to connect to the ISP, a call waiting service is activated at a service control point connected to the PSTN and the user is notified about any incoming call attempts made after the user establishes a successful connection with the second party. The call waiting system indicates the number of, and provides information about incoming call attempts to the user. Meanwhile, the third party caller has the option of leaving a voice mail message for the user. If the user is actively connected to the Internet, a call waiting Internet server can be used to provide the incoming call information to the user's computer terminal.
