The process comprises the steps of providing a hydrocarbon resin, a polyolefin and a graft monomer, and dispersing the hydrocarbon resin in the polyolefin, followed by adding the graft monomer under shear to prepare the functionalized polymer composition. The polyolefin can comprise a polyethylene polymer or a C3 to C40 polymer having a molecular weight (Mw) of at least 20000.
